In accordance with the provisions of the relevant articles of the General Corporations Law (Law No. 26887), the shareholders of Austral Group S.A.A. are hereby summoned to a General Shareholders' Meeting, to be held\u2014upon the first call\u2014on November 24, 2026, at 9:00 a.m., in the auditorium at the company\u2019s offices located at Av. V\u00edctor Andr\u00e9s Bela\u00fande No. 147, V\u00eda Principal 123, Edificio Real Uno, 1st Floor, Centro Empresarial Real, San Isidro.<\/p>\n\n\n\n

 The topic to be addressed at the meeting will be the one indicated in the following agenda.<\/p>\n\n\n\n

AGENDA<\/strong><\/p>\n\n\n\n

  1. Decision regarding the distribution of dividends, approved by the Annual General Meeting of Shareholders held on March 30, 2026.<\/li>\n\n\n\n
  2. Increase in the number of directors and election of a director.<\/li>\n<\/ol>\n\n\n\n

    Should the quorum required for the meeting not be reached upon the first call, the meeting is hereby convened for a second time on November 30, 2026, and for a third time on December 4, 2026\u2014in both instances at the same time, in the same location, and with the same agenda as specified for the first call.<\/p>\n\n\n\n

    Holders of common shares who are registered in the accounting records of the Central Securities and Settlement Registry (CAVALI) ten (10) calendar days prior to the date of the meeting shall be entitled to participate in the meeting.<\/p>\n\n\n\n

    Shareholders may be represented by another person by granting a written proxy specifically for the Meeting, unless the proxy is granted via a public deed. Proxies must be submitted no later than 30 minutes before the start of the Meeting.
